When someone does not do what they have promised

If a contracting party, such as a business partner or supplier, is unable or unwilling to comply with the contract, the other party may choose to terminate or cancel the contract.

The party that cancels a contract must demonstrate that this is because of a material breach of contract by the other party. A party that cancels a contract and is unable to demonstrate this must compensate the other party for any damages arising, and in some cases also for loss of profit.

A party entering into a contract has a duty of loyalty to the other contracting party. They must not act in such a way that the counterparty is unable to fulfil its obligations.

If a party believes that the counterparty is not in compliance with the contract, the party must notify the counterparty of this as soon as possible and request rectification.

It is common for parties to try to settle such disputes themselves. If they are unable to do so, however, we can help to resolve the dispute in court.
